Your Privacy

The website microplace.com and the services available on it (collectively, we’ll refer to these as the MicroPlace services) are brought to you by MicroPlace, Inc., an eBay company. In the course of providing you (or the organization for whom you are acting) with the MicroPlace services, we collect some personal information. This Privacy Policy tells you how MicroPlace uses and works to protect your information.

By using MicroPlace, you agree to the terms and conditions of the User Agreement, including this Privacy Policy, and you consent to MicroPlace's privacy practices. This includes the use and disclosure of any personal information you have shared with us and its transfer to and storage on our servers in the United States.

Binding Corporate Rules

In addition to the privacy practices set out in this Privacy Policy, eBay Inc. has established a set of Corporate Rules (also referred to as Binding Corporate Rules), approved by a number of European Union privacy regulators. These Corporate Rules are a commitment by eBay Inc. to adequately protect your personal information regardless of where the data resides, and depending upon your location, may provide additional privacy rights through your privacy regulator or a court. When you register for the MicroPlace services, we may collect information about you, including:

  • Information that you provide to us to set up a user account for you and identify you on the site, including user name, password, and a secret question and answer.
  • Contact information, including first and last name, phone number, email and mailing address.
  • Payment information, including PayPal email address, bank account and routing number.
  • Profile information, including your investment preferences and other information you may provide us that allows us to customize your MicroPlace experience.
  • Other information we are required by law to collect from you, or from consumer reporting agencies, to process securities-related transactions. This includes Social Security number, date of birth, country of citizenship, liquid assets, employment status and contact information, annual income, investment objectives and suitability profile.

We may obtain information about you when you interact with MicroPlace, for example, your transaction history and information about your contacts with Customer Service.

We may collect some information automatically from your computer while you browse our website, such as where you go on the site and what you do there. We collect your IP address, computer and connection information, browser type and version, operating system and platform, the URLs you come from and go to next, and a cookie number.

We may also obtain information about you from third-parties such as identify verification services and ask you non-credit related questions for identity verification purposes.

We use the information we collect to:

  • • Operate the MicroPlace site.
  • • Provide you with information and services you request.
  • • Customize your experience on the MicroPlace site.
  • • Communicate with you about your transactions, service updates and other administrative issues.
  • • Deliver targeted marketing and promotional offers, based on your communications preferences.
  • • Measure and improve our sites and services.
  • • Resolve disputes, address complaints and troubleshoot technical problems.
  • • Analyze site and user behavior and prepare aggregated reports.
  • • Comply with applicable laws and regulations.
  • • Compare information for accuracy, and verify it with third-parties

Sharing and Disclosure

We will not share your information with third parties for their marketing purposes without your explicit consent. To provide our products and services, we may disclose your information to the following parties:

Issuers. We will send your information to our participating issuers, who will use it to issue the securities you choose. Our issuers will use this information only as necessary to complete your transactions.

Other eBay Companies. We may share information with our parent company, subsidiaries, joint ventures or other companies under common control, where it may be used to provide joint services or for purposes such as internal statistics, strategic decision-making, customer reviews, identifying customer trends, customer verification, fraud prevention and security. Other members of our corporate family will not market to you without your consent.

Service Providers. We may share information with service providers under contract who help with our business operations (for example, verifying our users, maintaining the MicroPlace site and providing related services). Our service providers are required to keep the information confidential and use it only for the services they provide to us.

Legal and Other Disclosures. We may disclose information when permitted by law or under the good-faith belief that such disclosure is necessary under applicable law; to comply with legal process served on MicroPlace; to protect the property or interests of MicroPlace, its agents and employees; or to protect personal safety or the public.

Assets. As our business evolves, MicroPlace may sell, transfer or otherwise share some or all of its assets in connection with a merger, reorganization or sale of assets, or in the event of bankruptcy. In such an event, personal information may be one of the assets transferred.

Email Communications

Choice/Opt-Out. At any time, you have the ability to opt out of receiving marketing communications from MicroPlace, but you may not opt out of administrative emails (for example, electronic delivery of financial information, or emails about your transactions or our policy changes) while you are a registered MicroPlace user. You can opt out where available by changing your email preferences on My MicroPlace or by using the link provided at the bottom of each marketing email.

Email Tools. If you send emails to a recipient through our site, they will receive your email address and any personal message you include. We use the email addresses you provide to send your requested communication and for no other purpose. We may be required by law to retain these emails; they are not private communications. You may not use our email tools to send spam or content that violates the User Agreement.

Anti-Spam Policy. MicroPlace does not tolerate spam. We do not send emails to anyone without permission, and we do not sell or rent email addresses to any unauthorized third party. This does not mean that we can prevent spam from happening on the Internet. If you believe that you have received an unsolicited email from us, please contact our Privacy Department and we will investigate.

Cookies and Web Beacons

MicroPlace, our service providers, and other members of our corporate family who provide us with joint services, will sometimes place anonymous cookies or web beacons on your computer when you visit the site. We use these cookies and web beacons to recognize returning users, provide relevant content, measure traffic and activity on the site, monitor and improve our services and protect against fraud. You can block cookies by changing the settings on your browser (consult your browser help menu to find out how), but doing so may prevent us from delivering certain services to you. Your browser must be set to accept cookies in order to access MicroPlace as a registered user.

Accessing, Reviewing and Changing Your Personal Information

As a registered user, you can review and change your personal information by accessing My Account. Some account information cannot be changed online; if you are unable to make your desired change in My Account, please contact Customer Service for assistance. Although we will require you to revalidate your personal information periodically, you should promptly update your personal information if it changes or becomes inaccurate.

You can request that we close your MicroPlace account by calling Customer Service at (866) 478-3229. Depending on the issuer's policies, it may be necessary to continue to provide you with information and services related to the securities you have purchased until those securities mature or are redeemed, and we will complete the account closure process at that time. After we close your account, we may retain some information to comply with law, prevent fraud, assist with investigations, resolve disputes, analyze or troubleshoot programs, enforce our User Agreement and take actions otherwise permitted by law. If your account or membership is terminated or suspended, we may retain some information to prevent re-registration.


We view protection of your privacy as a very important principle. We store and process your information on computers located in the United States that are protected by physical as well as technological security devices. We have implemented physical, electronic and procedural safeguards that are designed to protect the security of your information in compliance with applicable U.S. federal and state regulations. These include advanced firewall and password protection for our databases, physical access controls to our buildings and files, and restricted access to your personal information to employees that need to know that information to operate, develop or improve our services.

The MicroPlace site may contain links to other websites. We are not responsible for the privacy practices or the content of these sites. If you have concerns about how other websites collect and use information about you, make sure to read that site's own privacy policy.


We may change this policy from time to time, and we will post the amended terms on the MicroPlace site and notify you by email of major changes. Amended terms will take effect immediately for new users, and 30 days after they are posted for existing users.

what is backup withholding?

The IRS will notify you if you are subject to backup withholding. It could be because you did not report all interest and dividends in the past. The security issuer of the investment holds some portion of the income as instructed by the IRS. Some issuers on MicroPlace will not sell you investments if you have been notified by the IRS as being subject to backup withholding.

Before you can start investing on MicroPlace, it's important that you understand the nature of these investments and whether they meet your investment objectives. To help you understand whether an investment available on MicroPlace is appropriate for you, please review the following:

1. Like many investments, securities available on MicroPlace have certain risks as outlined in the prospectus. You should review the prospectus to ensure you fully understand these risks.

2. Investments available on MicroPlace may be unsecured. This means that there is no guarantee of earning a return (principal plus interest) from the issuer of the investment.

3. Investments available on MicroPlace may be unrated. This means that a third party may not have performed an independent evaluation of the risk of the investment.

4. Investments available on MicroPlace may be illiquid. This means that you cannot sell your investments or have access to the funds you invested until they mature.

If you understand the above and agree that investments available on MicroPlace are consistent with your investment objective, please check the box. If you do not check the box, you will not be able to purchase these investments.

understanding your investment status

active: You now own your investment and it’s currently earning interest.

pending: We're processing your order and waiting for your funds to clear.

pending reinvestment: We’re in the process of rolling over your investment principal to another investment. This process should take 3 to 4 business days.

reinvested: Your investment principal has been rolled over to another investment.

pending redemption: We’re in the process of returning your investment principal to the account you used to pay for your investment. This process should take 3 to 4 business days.

money returned: Your investment principal has been returned to the account you used to pay for your investment.

cancelled: Your investment was cancelled for one of the following reasons:

  1. your payment did not go through
  2. you asked us to cancel your order
  3. the issuer was unable to approve your order

reinvest my money setting

The “reinvest my money” checkbox is a setting that allows you to specify what you’d like us to do with your money when your investment matures. If you’d like to have your money reinvested, simply select the checkbox. Your money will be reinvested into a project listed on MicroPlace. (This project is specified in an email you’ll receive thirty days before maturity.)

If you’d like your money returned to you, simply deselect the “reinvest my money” checkbox. At maturity, we’ll return your money to the account that you used to pay for your investment.

You can always change your mind for particular investments! Thirty days before maturity, we'll send you an email asking whether you’d like to reinvest your money in a project of your choice or get your money back. We also provide links for you to reinvest or get your money back within your portfolio page in My Account. Your “reinvest my money” setting only takes effect if we don’t hear back from you before maturity.

Arkansas, Ohio, or Pennsylvania residents

None of our issuers are currently able to offer their securities to residents of Arkansas, Ohio or Pennsylvania. Unfortunately this is up to the state regulators and we don’t expect it to change soon. Learn more about this topic on our blog.

Not a US resident

You have to be a US citizen or resident alien to invest with MicroPlace. Our broker-dealer registration only permits us to offer to US citizens or resident aliens.
